Jed R. Hayden

Jed focuses his practice on corporate advisory services and real estate transactions, representing clients that range from international conglomerates to small and medium-sized businesses.
Jed is the former General Counsel for an international real estate developer based in Ukraine. In that role, he was responsible for all corporate legal functions along with projects under development in Dubai and the Kempinski Hotel and Residences in Kiev, Ukraine.
Earlier, Jed served as in-house legal counsel in charge of corporate and commercial matters for Nakheel PJSC, the real estate development arm of Dubai World. He participated in the closing of over $7 billion in transactions for Nakheel while maintaining primary responsibility for corporate governance and commercial transactions.
Jed is also a former foreign associate for Turkey's largest law firm, Hergüner, Bilgen and Özeke, where he was primarily responsible for international investments by Western clients in Turkey.

Emerald Palace Group — Dubai, UAE
- Managed all legal functions for a Ukrainian-based real estate developer with over $1.5 billion under development in Dubai, Kiev, and Crimea.
- Counsel for the Kempinski Palm Jumeirah Hotel and Residences, Emerald Palace Business Bay Residences, and Kempinski Palm Jebel Ali Hotel and Residences.
Nakheel PJSC — Dubai, UAE
- Responsible for corporate and commercial legal functions including governance, signature record process, IP standards, and standard form service and consultant agreements.
- Participated in negotiations and drafting for the $2.5 billion MGM / Dubai World share purchase and $2.5 billion CityCenter, Las Vegas joint venture agreement.
- Concluded joint venture with Bharat Hotels Ltd. for the Grand Fort Hotel Dubai, a five-star property.
- Handled the performance agreement with Cirque du Soleil for a permanent original show on The Palm, Jumeirah.
- Participated in the review, drafting, and finalization of a $1.85 billion Islamic-compliant Ijara syndicated loan facility.
- Concluded a joint venture with Dubai Islamic Bank, including a Cayman Islands LLP for real estate acquisition and development in Dubai.
Hergüner Bilgen Özeke — Istanbul, Turkey
- Represented AIG Global Emerging Markets Fund in the acquisition of a controlling interest in a local retail company.
- Represented Tesco Plc in establishing Tesco-Kipa hypermarket outlets across Turkey, including drafting real property purchases, leases, and right-of-construction agreements.
- Represented The Wm. Wrigley Jr. Co in its acquisition of a controlling interest in a Turkish gum manufacturer.
- Represented a German investment fund in the purchase of a shopping mall in Turkey.
